By virtue of the Capital Markets Board of Türkiye’s (“CMB”) Decision dated 13.08.2026 and numbered 49/1489 (the “Board Decision”), all publicly held companies whose shares are traded on a stock exchange are now required to publish their material event disclosures simultaneously in English and Turkish.
Pursuant to the Board Decision, the section titled “IV. Language and Form of Notification of Material Event Disclosures” of the CMB’s Material Events Guide will,
as of 1 October 2026, apply to all publicly held companies whose shares are traded on a stock exchange
What Are the Key Changes Introduced by the Regulation?
Under the current regulations, the obligation to publish material event disclosures in English applies to
publicly held companies classified in the first group under the provisions of the CMB’s Communiqué No. II-17.1 on Corporate Governance (“
Communiqué”).
As of 1 October 2026, the scope of this obligation will be expanded, and all publicly held companies whose shares are traded on the stock exchange will be required to publish their material event disclosures simultaneously in English in addition to Turkish.
The relevant company will be responsible for the accuracy of the content of the material event disclosure published in English. The English disclosure must include a disclaimer stating that the Turkish version shall prevail.
Conclusion
In summary, as of 1 October 2026, the obligation to publish material event disclosures in English will no longer be limited to companies classified within the first group under the Communiqué and will apply to all publicly held companies whose shares are traded on the stock exchange.
